Terms of Service

Last updated:

The short version

  • Notiqer turns your recordings, videos, documents and notes into transcripts, summaries, tasks and answers. These terms are the agreement between you and MartinSoft, which provides it.
  • Your content stays yours. We use it only to provide the Service to you.
  • Make sure you may record: tell the people in a meeting, and ask for their consent where the law requires it.
  • Results are written by AI and can contain mistakes. Check what matters before you rely on it.
  • Paid plans renew until you cancel. A plan’s minutes are for its period and do not carry over.
  • Reading text aloud uses more minutes than transcribing a recording of the same length.
  • You can delete your account at any time, and with it everything you keep in the Service.
  • This summary helps you find your way; the full terms below are what apply.

1. Who we are

Notiqer is provided by MartinSoft, Stanisława Taczaka 24/103, 61-819 Poznań, Poland, tax ID (NIP): 7642436375 (“we”, “us”).

You can reach us at martinsofcik@gmail.com. For questions about the app, your account or a complaint, write to support@notiqer.com.

These terms apply to Notiqer wherever you use it: the website notiqer.com, the web app at app.notiqer.com, the mobile apps for iOS and Android, and the browser extension (together, the “Service”). By creating an account or using the Service, you accept them. If you do not accept them, please do not use the Service.

2. What the Service does

The Service lets you record meetings and other conversations, upload audio and video files, add links to online videos and articles, import documents and write notes. From what you add, it makes transcripts, summaries, lists of tasks, translations and recordings read aloud, answers your questions about your notes and, on selected plans, creates flashcards and quizzes. You can organise and search your notes and share them by link.

What you get, and how much of it, depends on your plan. The current plans are described on our pricing page and in the app.

To use the Service you need:

  • a device with a current web browser, or a phone with a version of iOS or Android that the app supports in its store;
  • an internet connection;
  • an account with an email address, or sign-in with Google or Apple;
  • a microphone, if you want to record.

Most of the Service needs a connection. Notes you have already opened stay readable on your phone without one, and a recording you finish offline waits on your phone and is sent once you are back online with the app open.

3. Your account

  • You must be at least 16 years old to use the Service. If you use it on behalf of an organisation, you confirm that you may accept these terms for it.
  • Give us accurate details and keep them up to date.
  • Your account is for you alone. Keep access to it secure, including your email and your Google or Apple account, and tell us at support@notiqer.com if you think someone else has used it.
  • You are responsible for what happens in your account, unless it happens through no fault of yours, for example because of our error.

You can delete your account at any time in the app’s settings. This permanently deletes your notes, recordings and files from the Service, and cannot be undone.

4. Plans, minutes and payment

Free trial. A new account starts with a free trial: a limited number of minutes for a limited time, as shown when you sign up and on our pricing page. Packs of minutes cannot be bought during the trial: if you need more minutes, you can choose a paid plan at any time and buy packs on it. When the trial ends, you can keep using the Service by choosing a paid plan.

Paid plans. Paid plans are paid monthly or yearly, in advance, and renew automatically for the same period until you cancel. A period starts on the day it is paid for.

Minutes. Turning sound into text, and text into sound, uses minutes: each minute of audio that is transcribed is taken from your balance, and reading aloud takes more, as described below. Each plan comes with minutes for its period; a yearly plan gives the whole year’s minutes at once. Minutes not used in a period do not carry over to the next one. On a paid plan you can also buy extra minutes in packs: a pack adds to your plan’s minutes, is valid for the time shown when you buy it, and can be used while your paid plan is active. Each plan also sets how long a single recording, file or video may be, and how large its file may be; an imported document may be as large as its kind allows. From a video file you upload we keep only its sound and one picture of it. When your minutes run out, work that needs them waits until you have more, or, if you agree, only the part your remaining minutes cover is processed.

Reading aloud. Reading text aloud - a note, an imported document or web page, or a translation read by a narrator - costs us several times more than transcribing a recording of the same length. That is why each minute read aloud uses more than one minute of your balance; how many depends on the narrator voice that reads the language. The Service tells you when reading uses more minutes and, where the text is known in advance, about how many. Translating a transcript into text alone uses no minutes. We may change these rates; a change applies only to reading started after it.

Prices and payment. Prices are shown in the Service before you pay, together with any taxes we must charge. On the web, payments are handled by our payment provider, Stripe; in the mobile apps, by the App Store or Google Play under their own terms. We may change prices for future periods: we will tell you at least 30 days before a new price applies to you, and you can cancel before it does.

Failed payments. If a renewal payment does not go through, for example because your card has expired or there are not enough funds, your plan stays active for a while and the payment is tried again. We tell you in the app and show you where to update your payment details. Once the payment goes through, your plan carries on as usual. If it has still not gone through after the last attempt, and no later than 31 days after the end of the period you paid for, the plan ends, with the consequences described under Cancelling. For a plan bought in a mobile app, the App Store or Google Play decide how the payment is retried, under their own terms.

Cancelling. You can cancel a paid plan at any time: on the web in the app’s settings, and for a plan bought in a mobile app in your App Store or Google Play account. Cancelling stops the next renewal; your plan stays active until the end of the period you have paid for. If your free trial is over and no paid plan is active, the app’s features stay closed until you choose a plan again. Your notes are kept, and you can still delete your account. If a paid plan ends and you do not choose a new one, we delete the account with all its notes no sooner than 60 days after the plan ended. We tell you by email on the day it ends, and again at least 30 days before the deletion, with its date.

5. Right of withdrawal and refunds

If you are a consumer, you may withdraw from the contract for a paid plan or a pack of minutes within 14 days of buying it, without giving a reason. Send us a clear statement, for example by email to support@notiqer.com. You may use the model withdrawal form, but you do not have to. It is enough to send your statement before the 14 days are over.

When you buy, you ask us to start providing the paid Service straight away. If you then withdraw, you pay only for the part of the Service provided up to that moment - for example, the minutes you used - and we refund the rest within 14 days, using the same means of payment.

Purchases made in the App Store or Google Play are processed by Apple or Google, who handle cancellations and refunds under their own terms; you can ask for a refund there. This does not limit your rights under the law.

6. Your content

Your content is everything you add to the Service - recordings, files, links, documents, text, questions - and everything the Service makes from it for you, such as transcripts, summaries, tasks and answers. You keep all the rights you have in it.

So that we can provide the Service, you give us a free, non-exclusive licence, for as long as your content is in the Service, to store, copy, process, transmit and display it, and to make the results you ask for - only to provide the Service to you and to the people you share with, and to keep it secure. We do this with trusted providers who process content on our behalf, including providers of speech recognition and AI models. Who they are and how we protect your personal data is described in our Privacy Policy.

You are responsible for your content. In particular, you confirm that:

  • you have the right to add it and to have it processed in the Service, and doing so breaks neither the law nor anyone’s rights, such as copyright or the right to privacy;
  • before you record a meeting or a conversation, you have told the people taking part and have their consent wherever the law requires it;
  • where your content includes other people’s personal data, you may lawfully process it.

Sharing. When you share a note by link, anyone who has the link can see what you shared until you stop sharing it. Share only what you may share.

Deleting. You can delete a note at any time. We keep a deleted note’s files for up to 30 days, so that a mistake can still be undone with our help, and then delete them permanently. In the settings you can also have notes older than a period you choose deleted permanently and automatically.

We do not look at your content except where it is needed to provide or secure the Service, to handle a request from you, or where the law requires it. If you come across shared content you believe is illegal, report it to support@notiqer.com. We may remove content or block access to it when we learn that it is illegal; we will tell you and give our reasons, unless the law forbids it, and you can ask us to review the decision.

7. Results made by AI

Transcripts, summaries, tasks, answers, translations and other results are produced automatically by AI models. They can be incomplete or wrong, may miss context, and may be similar to the results other people get. So please:

  • check the results before you rely on them, especially before you share them or act on them;
  • do not treat them as professional advice - legal, medical, financial or any other;
  • do not use them as the only basis for a decision that has legal or similarly significant effects on a person;
  • do not present them as written entirely by a person where that could mislead someone.

We work to make the results as good as we can, but we cannot promise that any particular result is correct.

8. Acceptable use

Please use the Service fairly and lawfully. You must not:

  • add or share content that is illegal or that violates the rights of others, including their privacy and intellectual property;
  • record people secretly where the law does not allow it;
  • use the Service to harass, threaten, defame or discriminate against anyone, or to harm children in any way;
  • upload malware, or try to break into, overload or disrupt the Service or its security;
  • copy, decompile or reverse engineer the Service, except where the law allows it;
  • use the Service by automated means, such as bots or scrapers, other than through the features we provide;
  • get around the limits of your plan, such as its minutes or features, or share your account to do so;
  • resell the Service or offer it to others as your own service without our written consent;
  • use the Service or its results to build or train a competing product.

If you break these rules, we may limit or suspend your use of the Service, as described in “Ending the agreement”.

9. Availability and changes to the Service

We work to keep the Service available and secure, but it may sometimes be unavailable, for example during maintenance or because of problems with the internet or with our providers. We try to plan maintenance for when it disturbs the fewest people.

We keep improving the Service, so its features change. If a change significantly reduces what you have paid for, we will tell you in advance, and you may cancel and get back the part of the price for the time left.

To keep using the mobile apps you may need to install updates; older versions of the apps or of operating systems may stop working with the Service. Using the Service over a mobile network may involve data charges from your operator, which are yours to pay.

10. Services of others

The Service works with services of others: sign-in with Google or Apple, the App Store and Google Play, our payment provider, and the services you link to, such as video platforms and websites. Their own terms apply to how you use them, and we are not responsible for them. Links to other websites are there for your convenience.

11. Our rights

The Service, including its software, design and texts, and the Notiqer name and logo, belong to MartinSoft or to our licensors and are protected by law. We give you a personal, non-exclusive and non-transferable right to use the Service under these terms for as long as you have an account. All rights not expressly given to you remain ours.

If you send us ideas or feedback, we may use them freely, without any obligation to you.

12. Your personal data

We process your personal data in accordance with the GDPR, as described in our Privacy Policy: what we collect, why, for how long, who helps us process it, and how to use your rights.

13. Liability

If you are a consumer, we are responsible for providing the Service in accordance with the contract, and you have all the rights the law gives you when a digital service does not conform to it. Nothing in these terms limits those rights, or our liability where the law does not allow it to be limited.

If you use the Service for your business and the law does not treat you as a consumer, then, to the extent the law allows, we are liable only for damage we cause intentionally or through gross negligence, we are not liable for lost profits, and our total liability is limited to what you paid us for the Service in the 12 months before the damage occurred.

We look after your content carefully, but please keep your own copies of anything critical to you.

14. Complaints

If something does not work as it should, tell us at support@notiqer.com. Describe what happened and when, say what you would like us to do, and give the email address of your account so we can find it. We will reply within 14 days. If your complaint is about a purchase made in the App Store or Google Play, you can also contact Apple or Google.

If you are a consumer and we cannot agree, you may use out-of-court ways of resolving the dispute, for example with the help of the consumer protection bodies and organisations of the country where you live.

15. Ending the agreement

The agreement between us lasts as long as you have an account. You can end it at any time by deleting your account. Cancelling a paid plan, and what happens to your account when a plan ends without a new one, is described in “Plans, minutes and payment”.

We may suspend your account or end the agreement if you seriously or repeatedly break these terms, or if the law requires it. Unless the breach is serious or the law prevents it, we will first tell you what is wrong and give you time to put it right. We will tell you about our decision and the reasons for it, and you can ask us to review it by writing to support@notiqer.com.

If we decide to stop providing the Service, we will tell you at least 60 days in advance, give you time to export your notes, and refund the part of any price you paid for the time after the Service ends.

16. Changes to these terms

We may change these terms, for example when we add features, change our plans or when the law changes. We will tell you about changes by email or in the app at least 14 days before they apply, and publish the new version on this page. If you do not accept them, you can end the agreement before they apply by deleting your account; if you have paid for a period that has not ended, we will refund the part of the price for the time left. Changes the law requires us to make sooner may apply sooner.

17. Law and disputes

These terms are governed by Polish law. If you are a consumer living in another country, you also keep the protection that the mandatory law of that country gives you. Disputes with consumers are settled by the courts that have jurisdiction under the law; disputes with businesses, by the court that has jurisdiction for our registered office.

If you are a sole trader registered in Poland and the contract with us has no professional character for you, you have the rights that Polish law gives consumers as to unfair contract terms and the right of withdrawal.

If any part of these terms is found invalid, the rest remains in force.
